Terms of Service

These terms govern your use of teamclementine.com and the Clementine client portal. By using the site or the portal, you agree to them. Paid services are governed by the separate written service agreement and Business Associate Agreement signed with your practice; where those agreements conflict with these terms, those agreements control.
1. Who we are
Clementine LLC is a Virginia-based dental billing and revenue cycle management company. We are a service provider to dental practices. We are not a law firm, an accounting firm, or an insurance company, and nothing on this site is legal, tax, or clinical advice.
2. Website content
Content on this site is provided for general information about our services. We work to keep it accurate but make no guarantee that it is complete or current. Descriptions of services, timelines, and outcomes are illustrative and are not a promise of any particular financial result.
3. Forms and inquiries
Submitting a contact form, booking request, or A/R health check request does not create a client relationship. A relationship begins only when a written service agreement is signed by both parties. Please do not submit patient information through website forms.
4. Client portal access
Portal accounts are issued to practices we serve. If you have an account, you agree to keep your credentials confidential, use the portal only for your own practice's business, and notify us promptly if you believe an account has been compromised. You may not share logins, attempt to access another practice's data, scrape the portal, or bypass any access control.
The portal is read-only and reflects our internal working trackers. Figures shown are an operational view of the work our team is doing. They are not a reconciled financial statement, do not necessarily match bank deposits, and should not be used as the sole basis for accounting or tax reporting.
At first sign-in, portal users are required to review and accept our confidentiality and HIPAA acknowledgment. Access may be suspended for misuse or when an engagement ends.
5. Acceptable use
- Do not use the site or portal for any unlawful purpose
- Do not attempt to gain unauthorized access to any system or account
- Do not interfere with, disrupt, or overload the site or portal
- Do not copy, reproduce, or redistribute our content or materials without permission
6. Fees
Our services are provided on a package subscription basis, scoped and priced in your service agreement and adjusted as your practice's needs and volume change. Payment terms, billing frequency, and any late-payment terms are set out in that agreement. See how pricing works.
7. Practice responsibilities
Practices remain responsible for clinical documentation and coding accuracy, for approving write-offs, adjustments, and anything that changes what a patient owes, for providing timely system access, and for their own compliance obligations as a covered entity.
8. Intellectual property
The Clementine name, logo, site content, course materials, templates, and portal interface are owned by Clementine LLC and may not be reproduced or distributed without written permission. Materials purchased through Clementine Academy are licensed for your own practice's internal use and may not be resold or redistributed.
9. Third-party links and services
The site may link to third-party websites or rely on third-party services. We are not responsible for the content, availability, or practices of those third parties.
10. Disclaimers and limitation of liability
The website and portal are provided on an "as is" and "as available" basis without warranties of any kind, to the fullest extent permitted by law. We do not warrant uninterrupted or error-free operation.
To the fullest extent permitted by law, Clementine is not liable for indirect, incidental, special, or consequential damages arising out of your use of the website or portal. Liability relating to paid services is governed by the limitations in your signed service agreement.
11. Governing law
These terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict-of-law rules. The state and federal courts located in Virginia have exclusive jurisdiction over any dispute arising from these terms.
12. Changes
We may update these terms from time to time. The effective date above reflects the current version, and continued use of the site or portal after an update means you accept the revised terms.
